Certain information and material (the "Confidential Information") will be disclosed to you that is confidential and commercially valuable to the Lounge Repair Guys. Unauthorised use or disclosure of the Confidential Information may cause significant financial loss and irreparable harm to the Lounge Repair Guys.

"Confidential Information" means all materials, documents and other information provided to you by the Lounge Repair Guys (whether in electronic format or any other form or medium, tangible or intangible) which at the time was not in the public domain and is expressly or by implication given to you in confidence.

In consideration of the Lounge Repair Guys disclosing the Confidential Information to you, you agree to abide by these Confidentiality Terms and agree:

a) To treat the Confidential Information as strictly private, confidential and secret;

b) Not to communicate, disclose or permit the disclosure of any Confidential Information to any person without the prior written consent of the Lounge Repair Guys;

c) Not to use the Confidential Information for any purpose, whether commercial or non-commercial, other than for the express purpose for which the information has been provided; and

d) To take proper and all reasonable steps to ensure the confidentiality of the Confidential Information.

e) At the Lounge Repair Guys’ request you agree to return and provide to the Lounge Repair Guys all documents and other materials in your possession or control which contain Confidential Information and to permanently delete all electronic copies of Confidential Information from your computer systems. Upon request by the Lounge Repair Guys at any time, you must promptly provide written confirmation that you have complied with all obligations set out in these Confidentiality Terms.

You acknowledge and agree that all Confidential Information, including but not limited to intellectual property in the Confidential Information, shall remain the property of the Lounge Repair Guys and you will not obtain any right or interest in the Confidential Information (other than the right to use the Confidential Information as expressly provided under these Confidentiality Terms).

You agree to indemnify and keep indemnified the Lounge Repair Guys against any loss, costs or claim arising directly or indirectly out of a breach of these Confidentiality Terms. You acknowledge and agree that the Lounge Repair Guys will be entitled to equitable relief, including injunction and specific performance as a remedy for such a breach in addition to all other legal and/or equitable remedies that may be available.

These Confidentiality Terms shall be governed by the law in force in the State of Queensland and shall be subject to the non-exclusive jurisdiction of the courts of Queensland.
